Overview

These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Krivra Technologies Pvt. Ltd. ("Krivra," "we," "us," or "our") governing your access to and use of the Krivra platform, website, and related services (collectively, "Services").

By creating an account, accessing, or using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

Acceptance of Terms

You must be at least 18 years old and capable of forming a legally binding contract to use Krivra. By using our Services, you confirm that:

• You are at least 18 years of age or the age of majority in your jurisdiction.
• You have full legal capacity to enter into this agreement.
• You will comply with all applicable laws and regulations in your use of the Services.
• All information you provide to us is accurate and truthful.

If you do not agree to these Terms, you must not access or use our Services.

Our Services

Krivra provides an AI-powered business management platform that includes, but is not limited to:

• Work management and project tracking tools
• Customer Relationship Management (CRM)
• Marketing campaign management
• Sales pipeline and revenue tools
• IT operations and support management
• AI-powered automation and agents
• Analytics and reporting dashboards
• Workflow builder and integrations

We reserve the right to modify, suspend, or discontinue any part of our Services at any time with reasonable notice. We will not be liable for any modification, suspension, or discontinuation of Services.

User Accounts

Account Creation

To access certain features of Krivra, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration.
• Maintain and promptly update your account information.
• Keep your password secure and confidential.
• Notify us immediately of any unauthorized use of your account.
• Be responsible for all activities that occur under your account.

Account Security

You are solely responsible for maintaining the security of your credentials. Krivra will not be liable for any loss resulting from unauthorized access to your account due to your failure to secure your login credentials.

Account Termination

We may suspend or terminate your account if we determine, in our sole discretion, that you have violated these Terms, engaged in fraudulent activity, or created risk or legal exposure for Krivra.

Acceptable Use

You agree to use Krivra only for lawful purposes. You must NOT:

• Violate any applicable laws, regulations, or third-party rights.
• Upload, transmit, or distribute malicious code, viruses, or harmful content.
• Attempt to gain unauthorized access to any part of the platform or its systems.
• Use the platform for spamming, phishing, or other deceptive practices.
• Reverse engineer, decompile, or attempt to extract source code.
• Use automated scripts or bots to access the platform in ways that exceed normal use.
• Resell, sublicense, or commercially exploit our Services without authorization.
• Engage in any activity that interferes with or disrupts our Services.
• Collect user data without proper authorization or consent.
• Impersonate Krivra, its employees, or other users.

Intellectual Property

Krivra's Property

All content, software, designs, trademarks, logos, and other materials comprising the Krivra platform are owned by Krivra or its licensors and protected by intellectual property laws. You may not copy, reproduce, modify, distribute, or create derivative works without our express written permission.

Your Content

You retain ownership of all content and data you submit to Krivra ("User Content"). By submitting User Content, you grant Krivra a non-exclusive, worldwide, royalty-free license to use, store, and process such content solely for the purpose of providing our Services.

Feedback

If you provide us with feedback, suggestions, or ideas about our Services, you grant us the right to use such feedback without restriction or compensation.

Payment & Billing

• Subscription Fees: Paid plans are billed in advance on a monthly or annual basis. All fees are non-refundable except as expressly stated.
• Auto-Renewal: Subscriptions automatically renew unless cancelled before the renewal date.
• Price Changes: We reserve the right to change pricing with 30 days' notice. Continued use after price changes constitutes acceptance.
• Taxes: You are responsible for all applicable taxes associated with your use of the Services.
• Failed Payments: If payment fails, your account may be downgraded or suspended. Outstanding amounts remain due and payable.
• Payment Methods: We accept major credit/debit cards and other payment methods listed at checkout. All payments are processed securely.

Cancellation & Refunds

Cancellation

You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period. You will retain access to paid features until then.

Refund Policy

Refund requests must be submitted within 30 days of the charge to billing@krivra.com.

Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• Implied warranties of merchantability or fitness for a particular purpose.
• Warranties that the Services will be uninterrupted, error-free, or secure.
• Warranties regarding the accuracy or completeness of AI-generated content.
• Warranties that defects will be corrected.

AI-generated content and suggestions provided by Krivra should be reviewed by qualified professionals before being relied upon for business, legal, financial, or medical decisions.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, KRIVRA AND ITS DIRECTORS, EMPLOYEES, PARTNERS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY:

• Indirect, incidental, special, consequential, or punitive damages.
• Loss of profits, revenue, data, goodwill, or business opportunities.
• Damages arising from unauthorized access to your account or data.
• Damages resulting from third-party conduct or content.

In no event shall Krivra's total liability to you exceed the amount you paid to Krivra in the 12 months preceding the claim.

Indemnification

You agree to defend, indemnify, and hold harmless Krivra and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including legal fees) arising from:

• Your use or misuse of the Services.
• Your violation of these Terms.
• Your violation of any third-party rights, including intellectual property or privacy rights.
• Any content you upload or transmit through the Services.

Governing Law & Dispute Resolution

These Terms shall be governed by the laws of India, without regard to conflict of law principles. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts located in Mumbai, Maharashtra, India.

Before initiating any legal proceedings, you agree to first contact us at legal@krivra.com and attempt to resolve the dispute informally for at least 30 days.

Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes through:

• Email notification to the address associated with your account.
• A prominent notice on our website and within the platform.
• An updated "Last Updated" date at the top of this page.

Your continued use of the Services after the effective date of revised Terms constitutes your acceptance of the changes.
